General terms and conditions of Wellmade s.r.o. regulating contractual relations with entrepreneurs
1. Contracting parties
1.1 Supplier

1.2 Subscriber
A customer is a legal entity or an entrepreneurial natural person who enters into a contractual relationship with the supplier as part of his business activity, the subject of which is the purchase of goods and the provision of services specified by these General Terms and Conditions to the customer from the supplier.

2. Subject of the General Terms and Conditions
2.1 General terms and conditions of Wellmade s.r.o. (hereinafter referred to as the “GTC”) regulate all legal relations between the supplier and the customer and the rights and obligations of the contracting parties in the purchase and sale of goods and the provision of related services according to the supplier’s trade license.
2.2 The contractual relationship between the supplier and the customer is primarily governed by the provisions on the purchase contract pursuant to § 2079 et seq. Act No. 89/2012 Coll., Civil Code, as amended. These General Terms and Conditions, which are available at the internet address https://wellmade.cz/vseobecne-obchodni-podminky/, are an integral part of all contracts concluded between the supplier and the customer, and both contracting parties at the moment of concluding the contract defined in Article 3.1 of these General Terms and Conditions make it clear, that they have familiarized themselves with these General Terms and Conditions and agree with their wording as of the date of conclusion of the contract between the contracting parties.
2.3 The contractual relationship arising between the supplier and the customer is governed by the contract specified in Article 3 of the General Terms and Conditions, which are an integral part thereof, and in matters not regulated by these documents, the provisions of the Civil Code and related regulations.
2.4 The subject of the contractual obligation is the obligation of the supplier to deliver, or deliver goods to the customer or provide services and the customer’s obligation to pay for these goods and services when the conditions set by the contract and GTC are met.
2.5 Exceptions to the General Terms and Conditions and individual conditions of cooperation can be negotiated on the basis of mutual agreement, and only in writing.
3. Contractual relationship
3.1 The contractual relationship between the supplier and the customer is established at the moment of concluding the contract. The contract is concluded by confirmation of the order made by the customer by the supplier, or by confirmation of order changes proposed by the supplier on the part of the customer. The order must be made in writing, with electronic communication also considered written, and must contain the following details:
customer identification,
specification and quantity of ordered goods,
the required date, place and terms of delivery of the goods,
any additional requirements of the customer.
By sending the order, the customer declares that he has familiarized himself with the General Terms and Conditions, which are publicly available at the supplier’s premises and at the address Hudcova 533/78c, Brno 612 00, and expressly agrees with them.
The supplier undertakes to confirm the order made by the customer either in writing or by electronic communication within three working days of its delivery, or to propose changes to it according to its operational capabilities, and at the same time to inform the customer of the price of the goods. In the event that the customer does not confirm the price of the goods or any changes proposed by the supplier, the contract between the parties is not considered concluded.
3.2 The goods are delivered on the basis of a contract concluded between the supplier and the customer and are governed by the contract specified above and the current version of the General Terms and Conditions. The GTC in the current version (including annexes and additions) are an integral part of every contractual relationship between the supplier and the customer and are applied to the contractual relationship in full. The General Terms and Conditions are attached to the contract and are an integral part of it. In the event of a conflict between the provisions of the GTC and the contract, the contractual provisions shall be applied preferentially. The relations between the General Terms and Conditions and the Contract are governed by Act No. 89/2012 Coll., the Civil Code, as amended.
3.3 The customer is obliged to provide complete, true and up-to-date personal information in the order and any other forms or documents that are necessary for the delivery of goods or the provision of related services. In the event of their change, he is obliged to notify the supplier of these changes without undue delay, but at the latest within 7 days from the day when the change occurred, and carry out or properly ensure their updating in the supplier’s database. The customer is responsible for the correctness and completeness of the data. The customer acknowledges and agrees that the supplier is in no way responsible for any damages of a financial, material or other nature incurred by the customer as a result of entering invalid, untrue and/or out-of-date data into the supplier’s database or directly by the supplier, and that the customer has no right to compensate for any damage thus incurred.
3.4 The supplier is obliged to supply the customer with the ordered goods in the quality and quantity determined by the contract concluded between the parties; in the event that defects are found on the goods, the seller is responsible for them according to the provisions of these GTC and relevant provisions
